EAST CAPITAL EXPLORER: ÖKAR I MFG MED 15% FÖR 14 MLN EUR

STOCKHOLM (Direkt) East Capital Explorer köper Swedfunds cirka 15-procentiga andel i ryska Melon Fashion Group (MFG) för cirka 14 miljoner euro. Före transaktionen hade East Capital 16 procent i MFG.

MFG har över 500 butiker i Ryssland och Ukraina.

Affären måste godkännas av ryska myndigheter, och en annan aktieägare i MFG har en option att köpa upp till 50 procent av Swedfunds andel i MFG, enligt East Capital Explorer.

“Utöver det kan uppgörelsen resultera i en förpliktelse för East Capital
Explorer att köpa ut aktierna från de återstående aktieägarna i bolaget till samma värdering”, skriver bolaget.

Efter att transaktionen genomförts förväntar sig East Capital Explorer att tillsammans med East Capital Holding äga cirka 40 procent av MFG.

“Transaktionens slutliga omfattning beror på utnyttjandet av den utestående köpoptionen och på antalet aktieägare som väljer att delta i det obligatoriska uppköpserbjudandet”, heter det vidare i pressmeddelandet.

Affären genomförs till 4 procents överkurs mot den nuvarande värderingen av företaget, vilket kommer att resultera i en uppvärdering av det befintliga innehavet i bolaget med lika mycket.

Transaktionen väntas vara slutförd under tredje kvartalet.
