Catella förvärvar resterande 30 procent av ägandet i dotterbolaget Catella Capital Intressenter AB

Catella förvärvar resterande 30 procent av ägandet i dotterbolaget Catella Capital Intressenter AB som är ett ägarbolag till Catella Fondförvaltning AB. Catella förvärvar aktierna från dess ledande befattningshavare, och blir därmed ensam ägare till Catellas svenska fondförvaltning.

I syfte att renodla strukturen och möjliggöra koncernbidrag genomförs transaktionen där delägande på lokal nivå inom den svenska fondrörelsen byts mot delägande på moderbolagsnivå.

Förvärvet om 30 procent motsvarar en total köpeskilling om 44 mkr vilken inkluderar 2010 års resultat. Som dellikvid erlägger Catella 5,5 miljoner teckningsoptioner, med villkoren enligt nedan, och resterande del erläggs kontant.

Emissionen av teckningsoptionerna med Catellas B-aktie som underliggande värdepapper kräver beslut på årsstämman den 25 maj 2011 i Catella AB. Föreslagen emission kommer att ske till marknadsvärde i tre serier med inlösentidpunkt under 2014, 2015 respektive 2016. Teckningskursen skall uppgå till ett belopp motsvarande 140 procent av den för bolagets aktie genomsnittliga betalkursen under tio handelsdagar närmast efter dagen för årsstämman den 25 maj 2011.

Förvärvet förutsätter Finansinspektionens medgivande.
